Bearflow Terms of Service
1. Who we are and what these terms cover
Bearflow (the “Service”) is a software-as-a-service product owned and operated by KYNIGOS MANAGEMENT TECHNOLOGY SYSTEMS PRIVATE LIMITED, a company incorporated in India that trades as Bear Systems (“Bear Systems”, “we”, “us”). These terms are a binding agreement between you and us. They apply to the Service, to the Bearflow website and to anything we provide through it. Our Privacy Policy forms part of this agreement.
You must be at least 18 and able to enter a binding contract. If you use the Service for an organisation, you confirm you have authority to bind it, and “you” includes that organisation.
2. The Service
Bearflow lets you set up pre-built automations from a library we maintain, connect them to third-party services using credentials you supply, and view their activity. We may add, change, limit or remove automations, features, integrations and plan limits at any time. Features marked beta or provided free of charge are offered without any commitment of availability.
We aim for a dependable service but we do not promise uninterrupted or error-free operation, and unless we agree a written service level with you, no uptime or delivery-time commitment applies.
3. Your account
- You must give accurate information and keep it up to date.
- You are responsible for keeping your password confidential and for everything done through your account.
- Tell us promptly at [email protected] if you suspect unauthorised access.
- One person or organisation may not create multiple free accounts to avoid plan limits.
4. Your credentials and third-party services
To run an automation you give us credentials for other services (for example a Telegram bot token, a Discord webhook address or an email account login). You authorise us to store those credentials and to use them solely to operate the automation you created. You confirm that you are entitled to provide them and to let us use them, and that doing so does not breach any agreement you have with the third party.
Third-party services are outside our control. We are not responsible for their availability, changes, fees, rate limits or terms, or for suspension of your accounts with them. You are responsible for complying with their terms. You should give each automation the minimum access it needs, and revoke any credential you believe is exposed.
5. Acceptable use
You agree not to use the Service, or let anyone else use it, to:
- break any law or regulation, or infringe anyone’s rights;
- send spam, unsolicited or bulk messages, phishing, scams, malware or deceptive or abusive content, or send any message without the consent the law requires;
- harass, threaten or harm any person, or send content that is unlawful, defamatory, hateful or sexually explicit;
- probe, scan or test the vulnerability of the Service, bypass or defeat any security, rate or plan limit, or attempt to reach private, internal or non-public networks or systems;
- access another customer’s data or automations, or interfere with or overload the Service or any third-party service;
- reverse engineer, decompile, copy or extract the Service, its automations or its underlying technology, or use them to build a competing product;
- resell or sublicense the Service without our written permission;
- use the Service for emergency, life-safety, medical or other critical purposes where failure or delay could cause injury or significant loss.
You are solely responsible for the content that passes through your automations, for the messages they send, and for having the lawful basis and consent to process the information involved, including any personal data of your own customers and enquirers. Automations that email or message third parties do so as you and from your accounts.
6. Plans, fees and payment
- The free plan and paid plans, with their limits (such as number of automations, monthly runs and minimum check interval), are described on the pricing page. We may change plans and prices for future periods.
- Paid plans are prepaid for the period you choose and do not renew automatically. When a period ends, your account returns to the free plan, and automations above the free limits may be paused or removed.
- Prices are charged in Indian rupees (INR) through our payment partner, Cashfree. Amounts shown in other currencies are approximate and for information only; your bank or card issuer sets the conversion.
- Fees are exclusive of applicable taxes (including GST), which you pay where they apply.
- Except where the law requires otherwise, fees are non-refundable once a plan has been activated. We may, at our discretion, offer a goodwill refund or credit.
- If a plan is exceeded, we may pause automations until usage is back within the limits or you upgrade.
7. Your data and privacy
We process account details, the settings of your automations, your stored credentials, and run records of your automations, which can include the content of messages and requests that pass through them. Run records are kept for seven days and then deleted automatically; credentials are deleted when you delete the automation they belong to. Deleting your account removes your automations and their credentials.
For information that passes through your automations, you decide the purpose and means, and we process it on your behalf to provide the Service. For account and billing information, we act as the responsible party (the “data fiduciary” under India’s Digital Personal Data Protection Act, 2023). How we handle personal data is described in our Privacy Policy.
We use trusted infrastructure and service providers to run the Service, including providers of hosting, networking and security (for example Vercel, Neon, Cloudflare), payments (Cashfree) and email delivery. By using the Service you agree to our use of such providers, who may process data in India and other countries.
8. Security
We take the most secure methods available to us, in our reasonable judgement, to protect the Service and your data. These include encrypting stored credentials, encrypting data in transit, keeping the systems that run automations off the public internet, authenticating every internal request, blocking automations from reaching private networks, restricting what automations can do to a fixed set of vetted components, and protecting sign-in with bot detection and rate limiting. Our Security page describes our approach in more detail.
No method of transmission or storage is completely secure, and we cannot and do not guarantee that the Service will be free from unauthorised access, loss, interruption or error. If we become aware of a security incident that affects your data, we will take prompt steps to contain it and will notify you where the law requires or where we judge it appropriate. You are responsible for the security of your own devices, passwords and the third-party accounts you connect.
9. Our intellectual property
We and our licensors own all rights in the Service, including the Bearflow Engine, the automation library, workflows, designs, software, documentation and the Bearflow and Bear Systems names and logos. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your own business purposes while these terms apply. No other rights are granted. You keep ownership of the content you bring to the Service, and give us the rights we need to host and process it to provide the Service. If you give us feedback or ideas, we may use them without restriction or payment.
10. Suspension and termination
We may suspend or end your access, remove automations, or close your account at any time, with or without notice, if we reasonably believe you have breached these terms, put the Service, other customers or third parties at risk, failed to pay, or if we must do so to comply with the law or a request from an authority. We may also stop providing the Service or any part of it on reasonable notice. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination will survive, including 4, 5, 9, 12 to 17.
11. Changes to the Service and these terms
We may update these terms from time to time. We will post the new version here and, for material changes, notify you by email or in the product. If you keep using the Service after a change takes effect, you accept the new terms. If you do not agree, stop using the Service and delete your account.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ACCURATE OR ERROR-FREE. In particular, automations may run late, run more than once or not run, alerts may be delayed, missed or inaccurate, and information obtained from third-party sources (such as exchange rates, weather or web pages) may be wrong. Do not rely on the Service as your only means of monitoring or alerting for anything important.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFIT, REVENUE, BUSINESS, CONTRACTS, GOODWILL, DATA OR ANTICIPATED SAVINGS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE AND THESE TERMS WILL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) INR 10,000. IF YOU HAVE ONLY USED THE FREE PLAN, OUR TOTAL LIABILITY IS INR 1,000.
Nothing in these terms excludes or limits liability that cannot be excluded or limited by law. Any claim must be brought within one (1) year of the event that gave rise to it, or it is permanently barred to the extent the law allows.
14. Indemnity
You will defend, indemnify and hold harmless us, our directors, officers, employees, contractors and suppliers from any claim, loss, liability, penalty, cost or expense (including reasonable legal fees) arising out of or related to: your use of the Service; your content or the messages your automations send; your breach of these terms or of any law or third-party right; or your credentials, accounts or data connected to the Service.
15. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of internet, power, cloud, hosting or third-party services, attacks, acts of government, natural disasters, epidemics and labour disputes.
16. Governing law, arbitration and class waiver
These terms are governed by the laws of India. Any dispute arising out of or relating to them or the Service will be finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed in accordance with that Act. The seat and venue of arbitration is New Delhi and the language is English. Subject to arbitration, the courts at New Delhi and Gurugram, Haryana have exclusive jurisdiction.
TO THE EXTENT PERMITTED BY LAW, YOU MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN ONE. We may seek urgent injunctive relief from any competent court to protect our intellectual property or the security of the Service.
17. General
- Entire agreement. These terms and the Privacy Policy are the whole agreement about the Service and replace earlier understandings. If we sign a separate written agreement with you, it prevails to the extent it conflicts.
- Severability. If any provision is unenforceable, the rest stays in force and the provision is applied to the fullest extent permitted.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not transfer your rights under these terms without our written consent. We may assign ours, including in a merger, reorganisation or sale of the business.
- Notices. We may notify you by email to your account address, in the product, or on this site. Send legal notices to us at the address below.
- No third-party rights. These terms do not give rights to anyone who is not a party.
